Terms of Service

1. Acceptance of Terms

By accessing and using Blackline AI's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.

2. Services Description

Blackline AI provides AI consultancy services including but not limited to:

• AI agent development and orchestration
• RAG (Retrieval-Augmented Generation) pipeline implementation
• Document processing and OCR solutions
• Workflow automation and integration
• Managed AI operations and observability

3. Service Agreements

Specific terms for each project will be outlined in a separate service agreement or statement of work, which will include:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Acceptance criteria and testing requirements

4. Intellectual Property

Unless otherwise specified in a service agreement:

• Client retains ownership of their data and proprietary information
• Blackline AI retains ownership of pre-existing tools, frameworks, and methodologies
• Custom code developed for a client project will be owned by the client upon full payment
• Third-party tools and services are subject to their respective licenses

5. Payment Terms

Payment terms will be specified in each service agreement. Generally:

• Fixed-price projects may require a deposit before work begins
• Invoices are due within the timeframe specified in the agreement
• Late payments may incur interest charges
• Work may be suspended for overdue accounts

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the service agreement.

7. Warranties and Disclaimers

Services are provided "as is" to the best of our ability. We warrant that:

• Work will be performed in a professional manner
• Deliverables will meet the acceptance criteria specified in the service agreement

We do not guarantee specific business outcomes or results from the use of our services.

8. Limitation of Liability

To the maximum extent permitted by law, Blackline AI's liability is limited to the total amount paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate a service agreement with written notice. Termination terms, including payment for work completed, will be specified in the individual service agreement.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes will be resolved through appropriate legal channels.
